Richard Johnston practices primarily in the areas of pension, employment benefits and executive compensation law. He also has experience in corporate/commercial, mergers and acquisitions and lending, allowing him to place the issues of pension, benefits and compensation into a broader business context.
Working to comply with the unique features of the Canadian tax regime, Richard has experience drafting cash and equity-based plans for executive compensation. He also regularly adapts plans of parent companies in the U.S. and elsewhere to the Canadian legal and business environment.
In addition to advising on a broad range of pension regulatory matters, Richard has particular experience regarding pension investment issues, including investment rules, governance issues, investment management contracts and structuring investments.
Richard has made a submissions to the government regarding recent changes to pension investment rules. He was a member of the Prudent Investment and Funding Industry Advisory Group to the Canadian Association of Pension Supervisory Authorities, which is the coordinating body for Canadian pension regulators.
A former director of an investment management firm, Richard’s background also allows him to advise on the structuring and documenting pension and benefit matters in connection with mergers and acquisitions.
Richard values long-term relationships and has advised certain clients for decades.
Active in his community, Richard has been a director and the chair of a charity that provides social housing and support to the homeless in downtown Toronto.
